CDX Online Terms and Conditions TERMS OF USE OF THE CDX SERVICE THE TERMS AND CONDITIONS SET OUT BELOW ARE A LEGAL AGREEMENT ("AGREEMENT") BETWEEN YOU AND JONESBARTLETT LEARNING, LLC, ON BEHALF OF ITSELF AND ITS AFFILIATES, ("JBL") AND GOVERN YOUR USE OF CDX ONLINE ("SERVICE"). YOU MUST AGREE TO THESE TERMS BEFORE ACCESSING THE SERVICE. TO AGREE TO THESE TERMS, CLICK "AGREE." YOU REPRESENT THAT YOU HAVE SUFFICIENT LEGAL AUTHORITY TO ENTER INTO THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT CLICK "AGREE," DO NOT ACCESS THE SERVICE, AND CONTACT JBL CUSTOMER SERVICE FOR A REFUND OF AMOUNTS YOU PAID TO JBL FOR USE OF THE JBL ELEARNING COURSEWARE THAT YOU NO LONGER DESIRE TO ACCESS AND USE. YOUR JBL ACCOUNT You agree to provide accurate, current, and complete information required to register with the Service and at other points as may be required in the course of using the Service ("Registration Data"). You further agree to maintain and update your Registration Data as required to keep it accurate, current, and complete. JBL may terminate your rights to any or all of the Service if any information you provide is false, inaccurate or incomplete. You agree that JBL may store and use the Registration Data you provide in maintaining your accounts and billing fees. SECURITY You must not disclose your User ID or Enrollment Key to anyone else. You must not allow anyone else to use the Service under your User ID or Enrollment Key. You are entirely responsible for all activities that occur in connection with your User ID or Enrollment Key with respect to the Service, and you agree to immediately notify JBL of any unauthorized use of your User ID, Enrollment Key or any other breach of security. JBL shall not be responsible for any losses arising out of the unauthorized use of your User ID, Enrollment Key or any other breach of security. You agree not to attempt to, or assist another person to, circumvent, reverse-engineer, decompile, disassemble, or otherwise tamper with any of the security components related to the Service. If you have reason to believe that someone is using your account without your permission, you should contact JBL immediately. JBL will not be responsible to you or any third party for any loss or damage resulting from your failure to notify JBL of unauthorized use or from your allowing others to use and/or not adequately protecting your User ID or Enrollment Key. You certify and represent that any exam, test, assessment, or other interactive tool offered through the Service will be completed and utilized only by you and you will not permit any other person to falsely answer exam, test, and assessment questions under your name. You understand and agree that any false, misleading, or fraudulent activity committed by you in connection with your use of the Service may result in invalidation of your scores and records, immediate suspension or termination of your access to the Service, and disciplinary action by your school or institution consistent with their policies. You understand and agree that JBL will report any suspected fraud or testing misconduct to your school or institution and will pursue any action reasonably necessary to protect student and school records and the integrity of the Service. You agree to use the Service only as permitted under this Agreement. If you are located outside of the United States, you consent to the transfer of your personal information into the United States. You agree that you will not disclose any portion of the Service to any other person or entity, as the Service contains the confidential and proprietary material of JBL and doing so would result in serious financial harm to JBL, for which you may be held personally liable. Any violation of these terms may subject you to civil and criminal penalties, prosecution, monetary damages, and the immediate termination of your ability to use the Service. INTELLECTUAL PROPERTY You understand and agree that the Service constitutes and is comprised of intellectual property and proprietary material that is owned by JBL or its licensors and is protected under intellectual property laws in the United States and other countries, which includes, but is not limited to, copyright. All rights not expressly granted to you under this Agreement are reserved by JBL and its licensors. JonesBartlett Learning, LLC, , CDX Online, and other JonesBartlett Learning, LLC trademarks, service marks, graphics, and logos used in connection with the Service are trademarks or registered trademarks of Jones and Bartlett Learning, LLC in the United States and/or other countries. Other trademarks, service marks, graphics, and logos used in connection with the Service may be the trademarks of their respective owners. JBL and its licensors do not grant to you any right or license in connection with any of the foregoing trademarks, service marks, graphics, or logos and you are expressly prohibited from using the same without written permission from the applicable owner. LICENSE TERMS The Service is licensed, and not sold, to you or to the school or institution with whom your use of the Service is affiliated, subject to the terms of this Agreement and timely payment of any fees due and payable to JBL. You are prohibited from making any copies of any part of the Services. If you have independently paid JBL for the use of the Service, the aforementioned license is granted to you. Your license to use the Service is subject to your prior acceptance of this Agreement and you agree that these terms will apply to the Service, including any updates or enhancements. You are not authorized to assign or transfer this license or your User ID or Enrollment key to any other person or entity. Other than the rights granted to you in this Agreement, JBL grants you no other rights. You agree not to copy, modify, rent, lease, loan, sublicense, sell, distribute, disassemble, decompile, reverse engineer, or create any derivative works of or based on the Service (except as and only to the extent that the foregoing restrictions is not permitted under applicable law or to the extent permitted by the license terms of any open-source components included with the Service). You agree to use the Service only as permitted under this Agreement. Any violation of these terms may subject you to civil and criminal penalties, prosecution, monetary damages, and the immediate termination of your access to the Service. ACCESS TO SERVICE The Service may be accessed via the Internet using the JBL-supplied client application. JBL is not responsible for providing you with Internet access or hardware or other software needed to access the Service. JBL is not responsible for any issues that may arise relating to your use or inability to use the Service due to your Internet, hardware or software arrangements. If you have difficulties in using the Service, you must contact your access provider and not JBL. You may use the Service only for your individual educational needs. You may not provide access to the Service to third parties, resell the Service or make the Service available to others as part of a service bureau. You must not try to alter the Service or the Service content. This agreement is not a license to use or copy content accessible via the Service. Your access provider may suspend or terminate your access to the Service at any time without notice to you. In circumstances where you obtain access to the Service through an education provider, JBL may suspend or terminate your access to the Service in accordance with JBLs agreement with your education provider or if you do not comply with the terms of this Agreement.
